Chirp Exclusive Content Payout Terms

BINDING ARBITRATION, LIMITATIONS OF LIABILITY, AND A WAIVER OF CLASS ACTION RIGHTS APPLY TO THESE TERMS.
These “Payout Terms” explain how Chirp Creators are paid for offering Exclusive Content. By offering Exclusive Content on Chirp, you acknowledge you have read and agree to these Payout Terms, which form a binding legal contract between you and Get Chirp, LLC (“Chirp,”“we,”“ours,”or“us”).
Capitalized words not defined in these Payout Terms are defined in ourTerms of Service ("TOS") or in our Exclusive Content Terms. Our TOS, along with our Community Guidelines, and any other Chirp terms or policies set forth on our Website, continue to apply. Any personal information we process in relation to payouts will be in accordance with our Privacy Policy. If you do not agree with these Payout Terms, or any of our other terms and policies, do not offer Exclusive Content.You must be 18 years old or older to qualify for payouts.
How Payouts Work
While we hope to help all of our Chirp Creators monetize their content, you are not guaranteed any payments by sharing Exclusive Content.
Chirp will pay you a percentage of charges actually collected from your Exclusive Content, after deducting overhead expenses, taxes, refunds, chargebacks, reductions, payment errors, or other fees, together with Chirp’s platform fee (“Fees”). You are responsible for any chargeback fees (currently $15 per dispute, subject to change by PSP’s) and for all applicable taxes on payments you receive. Chirp may deduct or offset such amounts from any Fees payable to you. The percentage payable may change at Chirp’s discretion, and final Fees may differ from estimates.
Chirp will determine all Fees at its discretion and will use commercially reasonable efforts to pay Fees within 60 days after the end of each calendar month, subject to a minimum $100 threshold. If your account balance is below the threshold, we will defer payment until the threshold is met. This minimum threshold is subject to change at Chirp’s discretion.
If you breach these Terms, Chirp may withhold, recover, or offset Fees (whether or not earned) and pursue any other remedies available under contract, equity, law, or tort.
Payment Service Processors
Chirp does not process payments directly. Instead, it uses third-party payment service processors (“PSP’s”) to complete payments. To receive payments from Chirp, you must register with the PSP identified during your sign-up. Any payments to you are subject to the terms and conditions of the PSP’s, which may charge their own fees for their services according to their own terms and conditions.
You are solely responsible for complying with any requirements of a PSP, and we are not liable to you for any losses suffered as a result of your interactions with, breach, default, or other conduct relating to a PSP. You acknowledge and agree that the PSP’s settlement of your Chirp Creator account balance into your bank account discharges Chirp’s payment obligation to you in full. You further agree that Chirp: (a) is not an agent of any PSP, and we do not provide or offer payment services on behalf of a PSP; (b) is not, nor should anything in these Terms be construed to imply that Chirp is, acting in any way under a mandate conferred by the PSP; and (c) is not an escrow service, money aggregator, money remitter or money transmitter.
Indemnification relating to PSP’s
You acknowledge and agree that PSP’s may impose obligations on Chirp relating to the provision of services by the PSP to you. You indemnify and hold Chirp harmless for any damages, costs, losses, or expenses incurred by Chirp in relation to the PSP arising out of your breach of these Terms or any PSP’s terms.
Changes to These Terms
Chirp may choose to change these Payout Terms in its sole discretion.
