Chirp Exclusive Content Creator Terms

Welcome to Exclusive Content for Chirp Creators

These terms apply to Chirp bio link Creators who want to offer their followers access to original and exclusive digital content that is not freely available on Chirp in exchange for fees (“Exclusive Content”). By offering Exclusive Content on Chirp, you acknowledge you have read and agree to these Exclusive Content Terms, which form a binding legal contract between you and Get Chirp, LLC (“Chirp,”“we,”“ours,”or“us”).

Capitalized words not defined in these Exclusive Content Terms are defined in our Terms of Service (“TOS”) . Our TOS, along with our Community Guidelines, Payout Terms, and any other Chirp terms or policies set forth our Website, apply equally to Exclusive Content. Any personal information we process in relation to Exclusive Content will be in accordance with our Privacy Policy . If you do not agree with these Exclusive Content Terms, or any of our other terms and policies, do not offer Exclusive Content.

Exclusive Content Requirements

Creators may share Exclusive Content only if the content is original and they have the legal right to do so. Creators are solely responsible for ensuring they have all legal rights and licenses to post Exclusive Content.

By posting Exclusive Content, you:

• Must be 18 years of age or older, and meet any eligibility requirements that Chirp determines are applicable, at its sole discretion.
• Agree to our TOS, including but not limited to all terms related to Creator Content set forth in the TOS, our arbitration clause, indemnification clause, limitations of liability, and our Community Guidelines
• Represent and warrant that the Exclusive Content does not violate any laws, or infringe on any third party’s copyright, patent, trademark, trade secret, or other intellectual property or proprietary rights, or any third-party right of publicity or privacy, including by using any third-party content without having secured any and all rights, consents, licenses, waivers, and clearances required from and the express prior documented authorization of such third party. In other words, any pictures, videos, music, or other features included in your Exclusive Content must be owned or controlled by you, or it must be in the public domain.
• Agree not to promote or facilitate gambling, lotteries, raffles, contests and sweepstakes (“Promotions”) that award any physical goods or are otherwise in violation of any laws. Any Promotions must include a full legal release of Chirp by any participant, and an express written acknowledgment that the Promotion is not sponsored, endorsed by, or associated in any way with Chirp.
• Grant us a royalty-free, worldwide, non-exclusive right and license to use, distribute, perform, display your Exclusive Content, as well as your name, voice, image, likeness, and any other personal attributes shown in it.
• Understand that if we believe you have violated any of the above requirements, we may choose to remove your Exclusive Content or suspend or terminate your Chirp account access. Violations of these Exclusive Content terms may also subject you to other legal consequences and damages, including direct and indirect damages under contract, equity, law, tort, and otherwise by us or third parties who believe you have violated your rights.
• Understand that we use automated tools and human reviewers to review your content to identify violations of our terms and Community Guidelines. We do this to prevent harmful and illegal conduct, but we urge you to reach out to us if you believe any assessment of your content was erroneous.

Payouts

Any payouts to Chirp Creators for Exclusive Content will be made in accordance with our Payout Terms.

Changes to These Terms

Chirp may choose to change these Exclusive Content Terms, disable or terminate the Exclusive Content service, and change the revenue share amounts set forth in these Exclusive Content Terms in its sole discretion.
